These Terms of Service ("Terms") govern your access to and use of thesheet. Please read them before using thesheet or starting a paid subscription.

1. Who we are

1.1 thesheet is operated by Thesheet OÜ, trading as "thesheet" ("thesheet", "we", "us" or "our").

1.3 thesheet is a cloud-based platform for interior designers and design studios to manage project information, product lists, specifications, client views, approvals, comments, quote requests, purchase orders, services, margins and related project work.

2. When these Terms apply

2.1 These Terms apply when you create an account, use thesheet, access a client link or client view, start a free or paid plan, invite a team member or otherwise use our services.

2.2 If you use thesheet on behalf of a company, studio or other organisation, you confirm that you have authority to accept these Terms for that organisation. In that case, "you" and "Customer" mean that organisation.

2.3 If a separate written agreement between you and thesheet conflicts with these Terms, the written agreement controls for that conflict.

2.4 Any mandatory legal rights you have under applicable law continue to apply. Nothing in these Terms excludes rights or liability that cannot legally be excluded.

3. Accounts and access

3.1 You are responsible for the accuracy of your account information and for keeping login credentials secure.

3.2 You are responsible for all activity that happens through your account, workspace, team or invited users, except where the activity is caused by our breach of these Terms or applicable law.

3.3 You must tell us promptly if you believe your account has been compromised.

3.4 We may refuse, suspend or close access where we reasonably believe an account is being used unlawfully, fraudulently, abusively, insecurely or in breach of these Terms.

4. Free plans, trials and paid subscriptions

4.1 thesheet may offer free plans, trials, paid plans, add-ons and usage limits. The features, limits and prices for each plan are shown on the website, in the product or in the order flow at the time you choose the plan.

4.2 Paid subscriptions are billed in advance for the billing period you choose, unless we state otherwise in the order flow.

4.3 Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. You can cancel from your account settings or by contacting us if self-service cancellation is not available.

4.4 If you cancel, your paid access normally continues until the end of the current paid billing period. We do not provide refunds or credits for partial billing periods unless required by law or expressly stated in writing.

4.5 If a payment fails, is reversed or remains unpaid, we may retry the payment, ask you to update your payment method, suspend paid features, downgrade the account or terminate access after reasonable notice where practical.

4.6 We may change plan features, limits and prices from time to time. If a change materially affects an active paid subscription, we will give notice before the change applies to your next renewal, unless the change is required sooner by law, tax, security, third-party provider rules or misuse prevention.

4.7 Prices may exclude taxes unless we say otherwise. You are responsible for applicable taxes, duties and charges, except taxes on our income.

4.8 Payments may be processed by third-party payment providers such as Stripe. Their terms, privacy notices and payment rules may also apply to payment processing.

5. EU and consumer cancellation rights

5.1 thesheet is mainly designed for professional and business use. If you use thesheet as a consumer, mandatory consumer protection rules may apply.

5.2 Where EU consumer withdrawal rights apply to a paid digital service, you may have a legal right to withdraw within 14 days unless you request or agree that the service starts during that period and acknowledge that your withdrawal right may be lost or limited once the digital service begins, as permitted by law.

5.3 If mandatory law gives you a refund, withdrawal, cancellation or other right that is stronger than these Terms, the mandatory law controls.

6. Acceptable use

6.1 You may use thesheet only for lawful purposes and in line with these Terms.

6.2 You must not use thesheet to upload, share or process content that is unlawful, infringing, misleading, harmful, abusive, malicious or intended to damage systems, data or other users.

6.3 You must not copy, modify, reverse engineer, scrape, overload, resell, sublicense or provide unauthorised access to thesheet, except to the extent allowed by law or by a written agreement with us.

6.4 You must not try to bypass plan limits, security controls, access restrictions or usage restrictions.

7. Your content and client sharing

7.1 You keep ownership of the project information, product details, images, notes, files, comments and other content you upload or create in thesheet ("Customer Content").

7.2 You give us the rights we need to host, process, display, transmit, back up and otherwise handle Customer Content so we can provide thesheet, support you, secure the service and improve the product.

7.3 You are responsible for Customer Content, including product information, prices, supplier details, images, client comments, quote/order information, service items, margins and any personal data you upload or share.

7.4 If you share a client link, client view, file, export or other output from thesheet, you are responsible for checking that the shared information is accurate, appropriate and intended for that recipient.

7.5 We do not guarantee that product details, supplier data, extracted information, AI-assisted suggestions, imported data or user-generated outputs are complete, accurate, current or suitable for any particular project, purchase or client decision.

8. AI-assisted and imported information

8.1 thesheet may include AI-assisted features, product capture, imports, extraction, suggestions, formatting or automation.

8.2 AI-assisted and imported outputs can be wrong, incomplete, outdated or unsuitable. You must review and verify them before relying on them, sharing them with a client or using them for ordering, pricing, procurement, compliance or financial decisions.

8.3 thesheet does not provide design, legal, tax, accounting, procurement, construction, safety, compliance or financial advice.

9. Service availability and changes

9.1 We aim to keep thesheet available and useful, but we do not guarantee uninterrupted, error-free, secure or permanent availability.

9.2 We may update, change, add, remove, suspend or discontinue features, integrations, plans, limits or parts of thesheet. We will try to avoid materially reducing paid functionality during an active billing period without notice, but we may make urgent changes for security, legal, provider, misuse or technical reasons.

9.3 thesheet may depend on third-party services, hosting providers, payment processors, integrations, browsers, app stores, AI providers, analytics tools or supplier websites. We are not responsible for third-party services or content we do not control.

10. Support

10.1 We may provide support by email, in-app channels or other support routes we make available.

10.2 Unless we agree a specific service level in writing, support response times are not guaranteed.

11. Data protection

11.1 We process personal data as described in our Privacy Policy and any applicable data processing agreement.

11.2 You are responsible for having the rights, permissions and legal basis needed to upload personal data to thesheet, invite users, share client links and process Customer Content through the service.

11.3 If you sign up for newsletters, product updates or marketing emails, we may use Mailjet as our email service provider to process and send those communications. You can unsubscribe from marketing emails using the link in the email or by contacting us.

12. Intellectual property

12.1 thesheet, including its software, design, interface, brand, code, workflows, features and documentation, belongs to us or our licensors.

12.2 These Terms do not transfer ownership of thesheet to you. You receive only the limited right to access and use thesheet while your account or subscription is active and in line with these Terms.

12.3 Feedback, suggestions and ideas you give us may be used by us without restriction or payment to you, provided we do not disclose your confidential information in doing so.

13. Confidentiality

13.1 Each party may receive confidential information from the other. The receiving party must protect confidential information with reasonable care and use it only for the purpose of the relationship under these Terms.

13.2 Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed or lawfully received from someone else.

14. Termination

14.1 You may stop using thesheet at any time. Paid subscriptions remain subject to the cancellation and billing rules in these Terms.

14.2 We may suspend or terminate access if you breach these Terms, fail to pay, create legal or security risk, misuse the service or if we are required to do so by law or a provider.

14.3 After termination, your access may end immediately. We may retain Customer Content for a limited period for backup, legal, accounting, dispute, security or operational reasons, then delete it according to our retention practices and applicable law.

14.4 You are responsible for exporting any Customer Content you need before termination or plan downgrade, where export is available.

15. Disclaimers

15.1 thesheet is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

15.2 We do not guarantee that thesheet will meet your requirements, produce any particular result, be uninterrupted, be error-free, be compatible with every workflow or system, preserve every piece of data forever or be free from harmful components.

15.3 We do not guarantee the accuracy, completeness, legality, quality, availability or suitability of Customer Content, imported information, supplier information, third-party content, AI-assisted output, exports, client-facing views, quote/order information, margins, calculations or product data.

15.4 Any warranties, conditions or guarantees implied by law are excluded to the maximum extent permitted by law.

16. Limitation of liability

16.1 To the maximum extent permitted by law, thesheet is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss or corruption of data, procurement losses, client disputes or costs of substitute services.

16.2 To the maximum extent permitted by law, our total aggregate liability for all claims relating to thesheet or these Terms is limited to the greater of: (a) the amount you paid to thesheet for the service in the 12 months before the event giving rise to the claim; or (b) EUR 100.

16.3 Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory rights that cannot be waived under applicable law.

16.4 The limitations in this section apply whether the claim is based on contract, tort, negligence, strict liability, statute or any other legal theory, even if we have been advised that damages are possible.

17. Indemnity

17.1 To the extent permitted by law, you agree to indemnify and hold harmless thesheet from claims, losses, liabilities, damages, costs and expenses arising from your Customer Content, your misuse of thesheet, your breach of these Terms, your violation of law or your infringement of someone else’s rights.

18. Changes to these Terms

18.1 We may update these Terms from time to time.

18.2 If we make material changes that affect active paid subscriptions, we will give reasonable notice before the changes take effect unless urgent legal, security, provider or misuse-prevention reasons require a faster change.

18.3 If you continue using thesheet after updated Terms take effect, you accept the updated Terms. If you do not accept them, you must stop using thesheet and cancel any paid subscription before the next renewal.

19. Governing law and disputes

19.1 These Terms are governed by the laws of Estonia, unless mandatory law requires otherwise.

19.2 The courts of Estonia have jurisdiction over disputes relating to these Terms or thesheet, unless mandatory law gives you the right to bring a claim somewhere else.

19.3 Before bringing a formal claim, the parties should try to resolve the dispute in good faith by contacting each other.

20. General terms

20.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations as part of a merger, acquisition, reorganisation, sale of assets or by operation of law.

20.2 If any part of these Terms is invalid or unenforceable, the rest remains in effect.

20.3 If we do not enforce a provision immediately, that does not mean we waive the right to enforce it later.

20.4 These Terms, together with the order flow, Privacy Policy and any written agreement between you and us, form the agreement for your use of thesheet.
